1. Acceptance of These Terms

By accessing this website, sending a message through the contact form, calling the counting house or entering into an engagement, you confirm that you have read these Terms of Service and agree to be bound by them. If you do not agree, please do not use the site or engage the services.

Where you use the site on behalf of an organisation, you confirm that you have the authority to bind that organisation to these terms. In that case, references to you include the organisation, and the organisation is responsible for the obligations described here.

These terms operate alongside any written engagement letter that Charlesworth Financial Group LLC agrees with a client. If an engagement letter conflicts with these terms, the engagement letter will take precedence for the matters it covers.

2. The Services We Provide

Charlesworth Financial Group LLC provides computer systems design and related professional services together with integrated bookkeeping. The services described on the website include folio sheet bays, reconciliation runs, client letter desks, filing windows, audit review rounds and consult sittings. Each service is a station at the counting house, and the scope of a particular engagement is set out in the engagement letter agreed with the client.

We describe the services in plain language so that a client can understand what will be delivered and what will not. A service described on the site is an outline and not a promise that every step will suit every business. The specific work for a client is agreed at the first consult sitting and recorded in writing before the first folio sheet is opened.

We may add, adjust or retire a service over time. Where a change affects an active engagement, we will discuss it with the client before the change takes effect, so that the work continues without surprise.

3. Eligibility and Authority

The services of the counting house are intended for businesses, professional practices and adults acting in a professional capacity. By using the site or engaging the services, you confirm that you are at least eighteen years of age or that you are acting with the authority of an organisation that is legally able to enter into the engagement.

If you are providing information about another person in the course of an engagement, you confirm that you have the right to share that information with us and that the person has been informed where the law requires it. You also confirm that the records you provide are accurate to the best of your knowledge, because the work of the desk depends on the evidence that arrives at the counter.

4. Engagements and Scope

An engagement begins when Charlesworth Financial Group LLC and the client agree an engagement letter that sets out the services, the deliverables, the fees and the period covered. Until that letter is agreed, a conversation with the desk is an enquiry and does not create an obligation on either side.

The engagement letter defines the scope of the work. Work that falls outside the scope, such as a new reporting requirement, a fresh system build or an additional reconciliation run, will be discussed and agreed separately before it is carried out. We do not carry out significant extra work on the assumption that it will be paid for later, and we do not ask a client to accept a surprise charge.

Where an engagement is delivered in cycles, each cycle is treated as a discrete unit of work. A cycle is closed when the reconciliation runs are complete, the client letter has been sent and the audit review round has been signed. Closing a cycle does not end the engagement unless the engagement letter says so.

5. Your Obligations

To allow the counting house to deliver good work, the client agrees to the following obligations.

Where the client does not meet these obligations, the desk may need to pause a cycle or extend a deadline, and we will explain the reason in writing. A delay caused by missing records will not be treated as a fault of the counting house.

6. Fees and Payment

Fees are agreed in the engagement letter before work begins. The letter states whether the fee is fixed for a cycle, based on time spent, or set on another basis that suits the engagement. Where a fee is based on time, the letter explains the rates and the way time is recorded, so that the client can follow the invoice without having to ask.

Invoices are issued on the schedule set out in the engagement letter and are payable within the period stated on the invoice. Where a payment is late, the desk may pause work on new cycles until the position is resolved, and we will tell the client before doing so. Any interest on late payment is applied only where the engagement letter provides for it and where the law allows it.

Fees do not include government charges, filing fees or third party subscriptions, unless the engagement letter says otherwise. Where such costs are expected, the desk will name them in advance so that the client can decide how to proceed.

7. Records and Working Papers

Charlesworth Financial Group LLC keeps the records of an engagement in the folio sheet bays and the filing windows described on the website. The working papers prepared by the desk remain part of the counting house archive unless the engagement letter says otherwise, and the client may request a copy of any sheet held on the client behalf.

Original documents and client records provided to the desk are returned or retained according to the engagement letter. Where the desk retains records for a statutory period, the client will be told which records are being kept and for how long. Where a client wishes to move to another adviser, the desk will prepare a handover pack from the filing window so that the next adviser can begin with a clear account of the work.

A client who wishes to correct a record should write to the desk. Where the record sits in a closed working paper, the correction will be recorded alongside the original so that the history of the sheet remains readable.

8. Computer Systems and Tools

Part of the work of the counting house is the design and maintenance of small computer systems that support bookkeeping, such as shared worksheets, import scripts and internal tools. Where the desk builds a system for a client, the engagement letter describes what the system will do, what it will not do, and who is responsible for it once it is in use.

When a system is handed to the client, the client becomes responsible for the way it is operated and for the data that enters it. The desk will provide written notes describing the system so that responsibility can be carried with confidence, and will remain available to answer questions during the period stated in the engagement letter.

Where the desk depends on a third party tool, such as a bank feed or an accounting application, the service is subject to the availability of that tool. If a third party changes its format or discontinues a feature, the desk will adjust the work and will explain the change to the client. We do not guarantee the continued function of a third party service over which we have no control.

9. Confidentiality

Charlesworth Financial Group LLC treats the records and information of every client as confidential. We use the information only for the engagement, we limit access to the people who need it, and we do not disclose it to a third party without the client instruction or a lawful requirement, as described in the Privacy Policy.

The client likewise agrees to keep confidential any working notes the desk shares that are marked as confidential, and to use those notes only for the purpose for which they were provided. This obligation lasts beyond the end of the engagement.

Where the desk is required by law to disclose information, we will disclose only what the request actually covers, and where the law allows we will tell the client that a request has been made.

10. Intellectual Property

The text, layout, design and device of this website belong to Charlesworth Financial Group LLC. The method of the counting house, the folio sheet system, the reconciliation notes and the client letter format described on the site are part of the firm practice. You may read and use the site for its intended purpose, but you may not copy, reproduce or republish a substantial part of it without written permission.

Systems, scripts and worksheets built for a client are licensed to the client for use in its business under the terms of the engagement letter. Unless the letter provides otherwise, the desk retains ownership of the underlying templates and methods, and the client receives a licence to use the delivered system for its own purposes.

Client data remains the property of the client. The client grants the desk the limited rights needed to process the data for the engagement, and those rights end when the engagement ends.

11. Prohibited Uses

You agree not to use this website or the services for any purpose that is unlawful or that would harm the counting house, another client or any other person. In particular, you agree not to attempt to gain unauthorised access to a system or a record, not to interfere with the security of the site, not to send malicious code through the contact form, and not to use the site to send unsolicited commercial messages.

You also agree not to misrepresent your identity or your authority to act for an organisation, and not to provide records that you know to be false or that you have no right to share. Where the desk has reason to believe that a use is prohibited, it may suspend access to the site and may end the engagement, in accordance with the termination section below.

12. Disclaimers

The website is provided for information about the firm and its services. While we take care to keep the material accurate and current, we do not promise that every statement on the site will remain accurate at the moment you read it, and the material on the site is not accounting, legal or tax advice for your particular situation. Advice is given only in the course of an engagement, in writing, on the basis of the records you provide.

The services are delivered with reasonable skill and care. Beyond that standard, the desk does not give any implied warranty about the results of an engagement or about the fitness of a service for a particular purpose, except where the law does not allow such a warranty to be excluded.

We do not guarantee that the website will be available without interruption. We may take the site offline for maintenance, and we may change it without notice. Where an interruption affects an active engagement, we will tell the client and will take reasonable steps to continue the work by another route.

13. Limitation of Liability

To the extent permitted by law, Charlesworth Financial Group LLC is not liable for any indirect or consequential loss that arises from your use of the website or from an engagement, including loss of profit, loss of business or loss of goodwill. Where a direct loss is caused by the firm failure to use reasonable skill and care, the firm liability is limited to the fees paid for the engagement in which the loss arose, or to the amount stated in the engagement letter if that amount is different.

Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for any other liability that the law does not allow to be limited. If a provision of this section is found to be unenforceable, the remaining provisions will continue to apply.

Where a loss is caused in part by the client, for example by inaccurate records or a failure to provide information, the firm liability is reduced to the extent that the client contribution caused the loss.

14. Indemnity

You agree to indemnify Charlesworth Financial Group LLC against any claim, loss or cost that arises from your breach of these terms, from a record you provided without the right to share it, or from a use of the website that is unlawful. This indemnity does not apply where the claim results from the firm own negligence or breach of these terms.

The desk will tell you promptly if a claim is made that may fall under this section, and will give you a reasonable opportunity to respond. You will not settle a claim in a way that admits a fault of the firm without the firm written agreement.

15. Termination

Either party may end an engagement by giving the notice period stated in the engagement letter. If no period is stated, either party may end the engagement with reasonable written notice. Where an engagement is ended, the desk will finish the cycle that is in progress, deliver the work that has been completed, and prepare a handover pack from the filing window so that the client is not left without the records.

The desk may suspend or end access to the website or an engagement without notice where there is a serious breach of these terms, a failure to pay an undisputed invoice, a risk to the security of the counting house, or a lawful requirement to do so. Where the desk ends an engagement for these reasons, the client remains responsible for fees for work already carried out.

The sections on confidentiality, intellectual property, limitation of liability, indemnity and governing law survive the end of an engagement.

16. Governing Law and Disputes

These terms are governed by the laws of the State of Utah and of the United States, without regard to the rules that would apply another law. Where a dispute arises, the parties will first try to resolve it by honest conversation at the desk, because most questions at a counting house are settled with a page and a figure.

If a conversation does not resolve the matter, the parties agree to attempt mediation before commencing proceedings, unless the dispute concerns a matter that requires urgent relief. Where proceedings are necessary, they will be brought in the courts of the State of Utah sitting in the county that covers the counting house, and each party agrees to that venue.

Nothing in this section prevents a consumer from raising a matter with a local consumer authority where the law gives the right to do so.

17. Changes to These Terms

We may update these Terms of Service from time to time to reflect a change in the way the counting house works, a change in the law, or an improvement in the way we describe our practice. When we make a material change, we will update the effective date at the top of the page and, where the change affects an active engagement, we will tell the client in a client letter.

Continuing to use the website or to engage the services after a change takes effect means that the updated terms apply. If you do not agree with a change, you may end the engagement in accordance with the termination section above. The version of these terms that applies to a particular engagement is the version that was current when the engagement began, unless the client agrees to an updated version later.
